The board of directors organizes the annual general meeting of shareholders, while investors with a majority stake in the company set the agenda. Shareholders elect auditors for one-year terms, approve annual reports and other financial statements, and have other powers provided by law. Shareholders elect the members of the Board of Directors for a three-year term on the basis of candidates nominated by the Chairman and Governance Committee and the Board of Directors meets six times a year to vote on the Company’s proposals. The Board determines Credit Suisse’s business strategies and approves its compensation principles based on guidance from the Compensation Committee. It also has the authority to form committees that delegate specific management functions.
